End User License Agreement (EULA)

Effective Date: 15th November 2023

This End User License Agreement (“Agreement”) is a legal agreement between you (the “User,” including individual users and organizations) and Relltek Ltd (“Relltek”), a company incorporated in England and Wales under company number 11065823, with its registered office at:

7 – 8 Britannia Business Park, Comet Way, Southend On Sea, Essex, SS2 6GE, England.

This Agreement governs your access to and use of the Nexus platform (“Nexus”), including any related services, features, or content.

1. Acceptance of Terms
   By creating an account, logging in, or otherwise using Nexus, you confirm your agreement to the terms of this EULA. If you do not agree, you may not access or use Nexus.
   
   
2. License Grant
   Relltek grants you a limited, non-exclusive, non-transferable, and revocable license to access and use Nexus solely for the purposes outlined in this Agreement. All rights not expressly
   granted herein are reserved by Relltek.
   
   
3. Access and Use
   • User Responsibilities: You are responsible for ensuring that all access to Nexus under your account complies with this Agreement.
   • Acceptable Use: You may not:
     o Use Nexus for unlawful or unauthorized purposes.
     o Share access credentials with unauthorized parties.
     o Attempt to reverse engineer, decompile, or disassemble Nexus.
     o Use Nexus for competitive analysis without Relltek’s prior written consent.
     
     
4. Data and Confidentiality
   • Ownership: Users retain ownership of any data uploaded to Nexus. By uploading data, you grant Relltek a license to use the data as necessary for the operation of Nexus.
   • Retention and Deletion: Data will be retained for up to 12 months after account termination unless otherwise required by applicable law. After this period, data will be deleted in accordance with Relltek’s data retention policies.
   • Confidentiality: Relltek will take commercially reasonable measures to safeguard sensitive data, including compliance with ISO 9001 and ISO 27001 standards.
     
     
5. Company Accounts
   When registering a company account, the individual registering confirms they have the authority to bind their organization to this Agreement. All users within the company must comply with the EULA, and the company is jointly responsible for any breaches by its users.
   
   
6. Intellectual Property
   • Nexus and its components, including all intellectual property rights, are owned by Relltek.
   • Users may not replicate, distribute, or create derivative works from Nexus without prior written consent from Relltek.
     
     
7. Feedback
   • By providing feedback or suggestions, you grant Relltek a royalty-free, perpetual, and irrevocable right to use, modify, and distribute such feedback for any purpose.
     
     
8. Termination
   • By User: You may terminate your account at any time by contacting Relltek.
   • By Relltek: Relltek may suspend or terminate access to Nexus for any breach of this Agreement or other justified reasons.
   • Upon termination, all rights granted under this Agreement will cease.
     
     
9. Limitation of Liability
   To the extent permitted by law, Relltek Ltd shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of Nexus, including but not limited to loss of data, business interruption, or loss of profits.
   This limitation applies regardless of the legal basis for the claim, whether in contract, tort (including negligence), strict liability, or otherwise, even if Relltek has been advised of the possibility of such damages.
   This limitation does not exclude liability for death or personal injury caused by Relltek’s negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
   
   
10. Export and Compliance
    You must comply with all applicable export control laws and regulations. Nexus may not be used in violation of international sanctions.
    
    
11. Governing Law
    This Agreement is governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England.

This EULA is effective as of 15th November 2023. By using Nexus, you acknowledge that you have read, understood, and agreed to these terms.
